Version:
agb-2026-09-1
As of: 10 September 2026
Contracting party: Sureva KmG, Sagipark 3, 6233 Büron (LU), Switzerland
Contact: info@sureva.com · www.sureva.com
1. Scope
1.1 These General Terms and Conditions (“GTC”) apply to all business relationships between Sureva KmG, Sagipark 3, 6233 Büron (“Sureva” or the “Provider”), and its customers (“Customer”).
1.2 The Customer’s deviating terms are recognised only if Sureva expressly confirms in writing (including by email) that they apply.
1.3 By registering, by expressly accepting these GTC (checkbox/button), or by using the Sureva platform, the Customer acknowledges the version of these GTC that was accepted. Sureva stores the version identifier and the time of acceptance.
1.4 Material changes to these GTC will be notified to the Customer. The Customer must accept the new version again before continuing to use the platform, where Sureva provides for this technically. If the Customer refuses, the usage relationship ends under the previous terms at the end of the current billing period or under the termination rules in section 6; claims that have already arisen remain payable.
2. Services
2.1 Sureva makes available to the Customer a cloud-based app-as-a-service (AaaS) or cloud platform through which the Customer can deploy, manage, and operate applications and use related IT/AI functions (“Platform” or “Services”), to the extent included in the relevant contract.
2.2 The specific services, technical specifications, availability, and prices follow from the relevant order confirmation, the dashboard, the documentation, or the individual offer (“Contract”). In case of dispute, the contractual specification prevails.
2.3 Sureva may develop the Platform further technically, update it, or make new functions available. Sureva will give the Customer reasonable notice of material restrictions on existing services.
2.4 Sureva is not obliged to develop its own applications or content for the Customer unless this is expressly agreed in the Contract.
2.5 AI functions: Where the Platform offers AI functions, outputs are provided “as available”. The Customer remains responsible for checking and using AI outputs. Inputs (prompts, files, contexts) may be processed by Sureva in order to provide the service; use for training Sureva’s own models or third-party models takes place only if separately agreed, or if it is described transparently in the privacy policy and is lawful.
3. Registration and access
3.1 To use the Platform, the Customer must register and create a user account. Information must be accurate and complete.
3.2 The Customer is responsible for the confidentiality of its access credentials and must change them without delay if misuse becomes known or appears possible.
3.3 The Customer is responsible for acts under its user account. Sureva is not liable for damage resulting from misuse of access credentials insofar as the Customer has breached section 3.2.
4. Obligations of the Customer
4.1 The Customer uses the Platform only within the agreed services and in compliance with the law.
4.2 The Customer ensures that all content made available through the Platform complies with statutory requirements, does not infringe third-party rights, and contains no harmful code.
4.3 In particular, the Customer must not:
- a) use the Platform in a way that impairs other customers or the infrastructure;
- b) gain unauthorised access to systems or data of third parties;
- c) violate laws or third-party rights;
- d) use it for spam, phishing, or fraud;
- e) reverse engineer it, or use it in a way that endangers security or stability (except where mandatory law permits this).
4.4 The Customer is responsible for backup and for the content of its data and applications. Sureva has backup obligations only where expressly agreed.
5. Prices and payment terms
5.1 Prices follow the Contract, the dashboard, or the published pricing model. Prices are exclusive of statutory value added tax where VAT is to be shown.
5.2 Invoices are payable within the agreed period, and at the latest within 30 days of the invoice date, without deduction.
5.3 If payment is late, Sureva may charge default interest and reminder or collection costs to the extent permitted by law.
5.4 Sureva may require payment in advance or a down payment.
5.5 Sureva will give 60 days’ prior notice of price changes taking effect for the future. The Customer may terminate without notice within 30 days of the notice; otherwise the new prices apply.
6. Term and termination
6.1 Unless otherwise agreed, contracts run for an indefinite period.
6.2 Either party may terminate in writing (including by email or dashboard, where provided) with 30 days’ notice.
6.3 Sureva may terminate with immediate effect for good cause, in particular in the case of a serious or repeated breach of contract, late payment, a threat to security or stability, or illegal or abusive use.
6.4 The Customer may terminate with immediate effect for good cause if Sureva breaches material duties and does not remedy the breach within a reasonable grace period.
6.5 On termination, outstanding amounts become due immediately. Sureva may delete the Customer’s data after the contract ends, unless a statutory retention duty stands in the way; export options follow from the Contract or the documentation.
7. Warranty
7.1 Sureva provides the services with due care and in a manner appropriate to the state of the art. The Platform is intended to correspond to the documented functions.
7.2 To the extent permitted by law, the Platform is provided “as is” and “as available”. Sureva does not warrant uninterrupted, error-free, or absolutely secure operation.
7.3 In particular, Sureva is not responsible for:
- a) outages outside its sphere of influence (force majeure, the internet, third-party outages, and similar events);
- b) compatibility with hardware or software not supplied by Sureva;
- c) damage caused by improper use or unauthorised changes.
7.4 Defects must be reported to Sureva without delay.
8. Limitation of liability
8.1 Sureva’s liability is unlimited where the law mandatorily provides for unlimited liability (in particular wilful intent and gross negligence and, where applicable, personal injury).
8.2 Otherwise, Sureva is liable only for wilful and grossly negligent conduct of its governing bodies and vicarious agents.
8.3 For slight negligence, Sureva is liable only for breach of material contractual duties and only for the foreseeable damage typical of the contract, to the extent permitted by law.
8.4 Liability for consequential damage, lost profit, loss of data, and business interruption is excluded to the extent permitted by law.
8.5 Sureva’s total liability is (except in cases of wilful intent or gross negligence, or where mandatory law provides otherwise) limited to the fees actually paid by the Customer in the 12 months before the event causing the damage.
8.6 These limitations also apply for the benefit of Sureva’s governing bodies, employees, and vicarious agents.
9. Data protection
9.1 The processing of personal data is governed by the privacy policy then in force (version as shown in the acceptance flow) and Swiss data-protection law (FADP / DSG).
9.2 The Customer is, as a rule, itself responsible for personal data in its content and applications (its own controller). Sureva processes platform and operations data as controller or, where agreed, as processor.
9.3 A data processing agreement (DPA) is provided on request or where required by law.
10. Intellectual property
10.1 All rights in the Platform (software, know-how, trade marks, designs, documentation) remain with Sureva or its licensors.
10.2 The Customer receives only the rights of use granted in the Contract.
10.3 The Customer’s content remains the Customer’s property. Sureva receives the rights of use required for operation, security, and support.
11. Availability
11.1 Sureva provides the platform service with the care customary for B2B SaaS and works toward largely uninterrupted use. These Terms do not warrant any specific availability percentage. Binding availability targets, measurement methods, and any service credits apply only if expressly agreed in a separate written SLA or enterprise agreement.
11.2 Sureva will, where practicable, give at least 48 hours’ notice of planned maintenance. Urgent security updates and measures to protect the platform or customer data may be performed without prior notice.
11.3 The following are not treated as platform unavailability: (a) force majeure; (b) planned or urgent maintenance and security updates; (c) outages or disruptions of third-party infrastructure (including cloud providers), internet connectivity, or other services outside Sureva’s reasonable control; (d) acts or omissions of the customer, its users, or applications and content operated, configured, or integrated by the customer; (e) use contrary to the documentation or abusive use.
11.4 Without a separate written SLA, there is no entitlement to credits, contractual penalties, or lump-sum damages for lack of availability. Any further claims are governed solely by clause 8 (Liability).
12. Final provisions
12.1 Swiss substantive law applies. The UN Convention on Contracts for the International Sale of Goods (CISG) is excluded.
12.2 The place of jurisdiction and the place of performance is, to the extent permitted, Büron, Canton of Lucerne, Switzerland.
12.3 If individual provisions are invalid, the remainder stays in force. The invalid provision is replaced by a valid rule that comes as close as possible to the same economic purpose.
12.4 The version shown at acceptance is controlling (agb-2026-09-1 or a successor). Earlier versions apply only to relationships already entered into, unless otherwise agreed.

- a) utilizar la plataforma de un modo que perjudique a otros clientes o a la infraestructura;
- b) obtener acceso no autorizado a sistemas o datos de terceros;
- c) infringir leyes o derechos de terceros;
- d) utilizarla para spam, phishing o fraude;
- a) interrupciones ajenas a su ámbito de influencia (fuerza mayor, internet, fallos de terceros y similares);
- b) la compatibilidad con hardware o software no facilitado por Sureva;
